In plain words

  • These terms cover using the Xorion website and the client portal.
  • Paid services are covered by your separate Service Agreement. If the two conflict, the Service Agreement wins for paid services.
  • Keep your account secure. Do not misuse the portal.
  • You keep your content. We keep our tools and code.
  • The site is provided as is. Our liability is limited.
  • Ohio law applies.

1. Agreement

By using xorionsystems.com or the Xorion client portal (together, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a business, you confirm you can bind that business.

2. Who can use it

You must be at least 18 and able to form a contract. The Services are for business use.

3. Your account

  • You sign in with Google, Microsoft or a passkey. You are responsible for the security of those sign-in methods.
  • Keep your devices and sign-in accounts secure. Tell us at once at contact@xorionsystems.com if you think someone else has access.
  • You are responsible for activity under your account. This includes actions by people you add as users.
  • Give us accurate information and keep it current.
  • We may suspend an account we reasonably believe is compromised or being misused.

4. Your content

  • You keep ownership of everything you upload or provide ("Your Content"): text, logos, photos, files and data.
  • You give us a limited license to host, copy, display, adapt and back up Your Content only as needed to provide the Services to you.
  • You promise you have the rights to Your Content and that it does not break the law or anyone else's rights.
  • We do not review Your Content in advance. We may remove content that breaks these Terms or the law.

5. Our property

The Services, our templates, code, design systems, tools and branding belong to Xorion or our licensors. We give you a limited, non-exclusive, non-transferable right to use the portal for your own business while you are a client. You may not copy, resell or reverse engineer the Services.

6. Acceptable use

Do not:

  • break the law or help anyone else do so
  • upload malware, or probe or attack our systems
  • scrape, overload or interfere with the Services
  • upload content that is unlawful, defamatory, infringing, deceptive or sexually explicit
  • impersonate anyone or misstate your identity
  • use the Services to send spam
  • access another client's data
  • share your account with people you have not added as users

8. Third-party services

We do not use third-party payment or email services on this site yet; this section will list them when we do.

9. Availability

We work to keep the Services running. We do not promise they will be uninterrupted or error free. We may change, pause or retire features. We will try to give notice of changes that matter to you.

10. Feedback

If you suggest an improvement, we may use it without owing you anything.

11. Disclaimer

The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied. This includes merchantability, fitness for a particular purpose, and non-infringement. We do not promise any results, such as search ranking, traffic or sales.

12. Limit of liability

To the fullest extent the law allows:

  • Xorion is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
  • Our total liability for all claims relating to the Services is limited to the amount you paid Xorion in the 3 months before the event that caused the claim. If you paid nothing, it is $100.

Some laws do not allow these limits. If so, they apply only as far as the law permits. Nothing here limits liability that cannot be limited by law.

13. Indemnity

You will defend and reimburse Xorion for losses from a third-party claim that Your Content or your misuse of the Services broke the law or someone's rights. We will tell you promptly about the claim and let you cooperate.

14. Ending access

You may stop using the Services at any time. Cancellation of a paid plan is handled under your Service Agreement. We may suspend or end your access if you break these Terms or the Service Agreement. Sections that by their nature should survive will survive, including ownership, disclaimers, limits of liability, indemnity and governing law.

15. Changes

We may update these Terms. We will email account holders and post the new date. Changes take effect 30 days after notice. If you keep using the Services after that, you accept them.

16. Governing law and disputes

Ohio law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, you agree to email contact@xorionsystems.com and try to resolve the dispute informally for 30 days. After that, the state and federal courts located in Franklin County, Ohio have exclusive jurisdiction, and you consent to them.

17. General

These Terms and the Service Agreement are the whole agreement between us on this subject. If a part is unenforceable, the rest stays in effect. If we do not enforce a term, we have not given it up. You may not assign these Terms without our written consent. We may assign them in a sale or merger.
